Terms and Conditions

These Terms and Conditions (the "Terms") constitute a legally binding agreement between you and Bedrock Power LLC ("Finity," "we," "us," or "our"), governing your access to and use of the Finity mobile and web applications, APIs, and any related services (collectively, the "App"). By downloading, installing, registering for, accessing, or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use the App.

1. Eligibility

By using the App on behalf of an entity, you represent that you have authority to bind that entity to these Terms.

2. Account Registration & Security

• You may need to create an account, provide accurate information, and maintain its confidentiality.
• You are responsible for all activities that occur under your credentials.
• Notify us immediately at support@finityapp.com of any unauthorized use or security breach.

3. Financial Information & Disclaimers

• The App analyzes data you or authorized third‑parties provide. The accuracy of results depends on the accuracy of that data.
• No Professional Advice. All content is for general informational purposes. We are not a registered investment adviser, broker‑dealer, or tax consultant.
• No Guarantee of Results. Past performance or forecasts are not a guarantee of future outcomes.

4. Fees, Subscriptions & In‑App Purchases (if applicable)

• Certain features may require payment of fees ("Paid Services"). Pricing and billing cycles will be disclosed prior to purchase.
• Subscription Renewal. Unless you cancel before the end of the current billing period, your subscription will renew automatically at the then‑current rate.
• Refunds. Except as required by law, all fees are non‑refundable.
• Taxes or exchange fees may apply and are your responsibility.

5. User Obligations & Prohibited Conduct

You agree not to:

• Violate any applicable law or regulation
• Infringe intellectual property or other rights
• Upload viruses, malicious code, or scrape/crawl the App
• Use the App for any unlawful, deceptive, or fraudulent purpose
• Reverse engineer, decompile, or attempt to extract the source code (except as permitted by law)
• Interfere with or disrupt the App's servers or networks

6. Intellectual Property

• The App and its content, features, and functionality are owned by Finity or its licensors and protected by copyright, trademark, and other laws.
• License Grant. Finity grants you a personal, non‑exclusive, non‑transferable, revocable license to use the App solely for its intended purpose in accordance with these Terms.
• You may not use Finity's trademarks without our prior written consent.

7. Third‑Party Content & Services

• The App may integrate or link to content, data feeds, or services provided by third parties ("Third‑Party Services").
• Finity does not endorse, control, or assume responsibility for Third‑Party Services. Your use is subject to their terms.

8. Privacy & Data Protection

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal data. By using the App, you consent to our data practices.

9. Security

We implement reasonable administrative, technical, and physical safeguards designed to protect your information. However, no system is completely secure and we cannot guarantee absolute security.

10. Availability & Updates

• We may modify, suspend, or discontinue any part of the App at any time without liability.
• We may automatically deploy updates. You consent to receive them and understand the App may not function properly without installing updates.

11. Disclaimer of Warranties

The App is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, accuracy, or non‑infringement. Your use is at your sole risk.

12. Limitation of Liability

To the maximum extent permitted by law:

• Finity shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill; and
• Finity's total cumulative liability arising out of or related to these Terms or the App shall not exceed the greater of (a) the amount you paid us in the six months preceding the claim or (b) USD 100.

13. Indemnification

You agree to indemnify, defend, and hold harmless Finity and its affiliates, directors, officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your: (a) use of the App; (b) violation of these Terms; or (c) violation of any rights of a third party.

14. Governing Law & Jurisdiction

These Terms and any dispute shall be governed by and construed in accordance with the laws of the State of Nuevo León, Mexico, without regard to its conflict of law provisions. You submit to the exclusive jurisdiction of the courts located in Monterrey, Nuevo León.

15. Changes to These Terms

We may revise these Terms from time to time. We will post the updated version and, if changes are material, notify you via the App or email. Continued use after the effective date constitutes acceptance of the revised Terms.

16. Severability & Waiver

If any provision is held unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right or provision is not a waiver of future enforcement.

17. Entire Agreement

These Terms, together with any additional policies referenced herein (e.g., Privacy Policy), constitute the entire agreement between you and Finity regarding the App and supersede all prior agreements.
